GDC Vault Subscription Terms & Services

1. DEFINITIONS

The term "Services" means access to the GDC Vault, a collection of content recorded at Game Developers Conferences worldwide, which is available via subscription (the "GDC Vault Platform"). The Services are owned, managed and produced by Informa Tech Holdings LLC (formerly known as UBM LLC, "Informa/We"). The term "Subscriber/You" means an end user of the Services.

2. ACCEPTANCE BY INFORMA

Informa, in its sole discretion, determines whether a company or person is eligible to participate in the Services. Eligibility is generally limited to people or firms who supply products and services to the game industry. Informa may withdraw its acceptance at any time by refunding a pro rata portion of the subscription fees (as set out on www.gdcvault.com) paid, if Informa determines that Subscriber is or becomes ineligible. Informa has sole control over participation policies.

3. LICENSE

• Informa hereby grants to Subscriber a non-exclusive, non-transferable worldwide right for end users to access and review the GDC Vault content (the "Content"), subject to the terms and conditions of this Agreement.


• The term of the subscription is 12 months as set out on www.gdcvault.com.


• Subscriber undertakes to be responsible for any technical requirements needed to enable Subscriber to access the GDC Vault Platform. Informa does not guarantee that the GDC Vault Platform will operate continuously, securely or without errors or interruption, and Informa does not accept any liability for its temporary unavailability. We do not guarantee that the GDC Vault Platform and/or any content thereon (including, without limitation, any content available for download) will be free from viruses, infections, Trojan horses, worms and/or any other code that has contaminating or destructive properties. We are under no obligation to oversee, monitor or moderate any interactive service we provide on the GDC Vault Platform and, without limitation, we expressly exclude all liability for any loss, injury or damage whatsoever arising from the use of any interactive service by any user, whether the service is moderated or not. Informa makes no representation or warranties of any kind, express or implied, regarding the Services.


• Subscriber must not attempt to interfere with the proper working of the GDC Vault Platform (for example, by attempting to circumvent security or tamper with, hack into or otherwise disrupt any computer system, server, website, router or any other internet connected device). Without limitation, Subscriber must not: (i) download, store, reproduce, transmit, display, copy, distribute, exploit or use the GDC Vault Platform and/or any content thereon for your own commercial gain, (ii) use the GDC Vault Platform and/or any content thereon in any manner other than in compliance with law and this contract, (iii) infringe Informa’s intellectual property rights or those of any third party in relation to your use of the GDC Vault Platform and/or any content thereon, (iv) transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation, and/or (v) knowingly transmit, send or upload any data that contains viruses, infections, Trojan horses, worms and/or any other code that has contaminating or destructive properties viruses.


• Subscriber agrees to comply with any website terms of use and/or fair or acceptable use policies indicated on any website on which the GDC Vault Platform is hosted, which are incorporated by reference herein at Section 5 below. Informa does not endorse or accept any responsibility for the content, or the use of, any goods or services that may be identified or described on the GDC Vault Platform and Informa shall not be liable for any loss or damage caused or alleged to be caused by or in connection with use of, or reliance on, any content, goods or services available on or through the GDC Vault Platform or any website or other resource referenced therein.


• Informa may issue Subscriber with a username and password. Usernames and passwords are confidential and remain the property of Informa at all times and may not be sold, assigned or transferred to any third party without our permission. Subscriber’s username and password are personal to Subscriber. Subscriber hereby agrees that they will not permit others to use Subscriber’s username or password and Subscriber will be and remain liable for the acts of any person using such usernames and passwords.

4. CANCELLATION OR TERMINATION

a. Cancellation by Informa. Informa may cancel all or any part of the Services for any reason beyond its reasonable control, including but not limited to, natural or public disaster, epidemic or pandemic, act of God, acts of terrorism, insufficient participation, market fluctuations, government regulation, or similar reasons, in which case Informa will refund to Subscriber a pro rata portion of any subscription fees already paid to Informa, after which Subscriber will have no further recourse against Informa.

b. Termination by Subscriber. All subscription fees are deemed fully earned and non-refundable upon contract signature.

c. Termination by Informa. Informa may terminate the Services without cause, at any time, and in the event of such termination shall refund to Subscriber a pro rata portion of the subscription fees already paid to Informa, after which Subscriber will have no further recourse against Informa. Informa reserves the right to terminate this contract for cause immediately by written notice to Subscriber in the event of breach or anticipatory breach by Subscriber of any of the terms and conditions set forth herein, including failure to make any payment when due under the terms of this contract; in the event of termination for cause, Subscriber shall not be entitled to any refund of the subscription fees.

5. TERMS FOR WEBSITE USE

Subscriber agrees to be bound by and comply with the Terms for Website Use, posted at https://www.informatech.com/terms-and-conditions and incorporated in this contract by reference, save that the governing law and jurisdiction clause in the Terms for Website Use is hereby deleted and replaced with: "These Terms are governed by New York law and the Subscriber submits to the exclusive jurisdiction of the courts of the state of New York, USA. Nothing in these Terms shall prevent or restrict Informa from pursuing any action against Subscriber in any court of competent jurisdiction."

In the event of any inconsistency between the terms of this contract and the Terms for Website Use, the provisions of this contract shall prevail.

6. DATA PROTECTION

The personal information which Subscriber provides to Informa will be held by us on a database, and where Informa have appropriate authorisation/justification (which may include, without limitation, express/implied consent or legitimate interests), may be shared with other companies in the Informa group and selected third parties in the UK, United States and internationally for promotional and other purposes. Subscriber’s personal information may also be shared with government entities and regulatory authorities as required by law. The use that any third parties make of Subscriber’s personal information is outside of Informa’s control and, to the extent permitted by applicable law, Informa does not accept any liability in this regard. 7. BILLING

The Subscriber shall pay the subscription fees immediately and as set out on www.gdcvault.com by credit or debit card, or as otherwise provided on www.gdcvault.com.
